Terms of Service

These Terms of Service ("Terms") govern your access to and use of any platform or service operated by Lazuar Solutions ("we", "us", or "our"), including but not limited to Aura and any future products. By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Service Description

Lazuar Solutions operates multi-tenant software-as-a-service (SaaS) platforms designed for specific industries. Each platform provides industry-tailored tools for operations, scheduling, client management, payments, staff management, messaging, and reporting.

Our platforms are provided as hosted services accessible via web browsers. We reserve the right to modify, update, or discontinue features at any time, with reasonable notice where practicable.

2. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

Each tenant organisation receives a dedicated workspace. The individual who creates the workspace is designated as the initial administrator and is responsible for managing user access and permissions within their organisation.

3. Subscription & Billing

3.1 Plans & Pricing

Our platforms are available on a subscription basis. Current pricing is published on the relevant product page on our website. We reserve the right to change pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.

3.2 Billing Frequency

Subscriptions are billed either monthly or annually, depending on the plan you select. Billing begins on the date of your initial subscription and recurs on the same date of each subsequent billing period.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from your account settings.

4. Payment Processing

All subscription payments are processed by Paddle.com Market Limited ("Paddle"), which acts as our Merchant of Record. This means that when you purchase a subscription, your contractual relationship for payment purposes is with Paddle, not directly with Lazuar Solutions.

Paddle handles billing, invoicing, sales tax, VAT, and payment processing on our behalf. Your payment information is collected and processed directly by Paddle in accordance with the Paddle Terms of Use and Paddle Privacy Policy.

Invoices will be issued by Paddle and may include applicable taxes as required by your jurisdiction.

5. Cancellation & Termination

5.1 Cancellation by You

You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of your current billing period. No partial refunds are provided for unused time within a billing period, except as described in our Refund Policy.

5.2 Data After Cancellation

After your subscription ends, your data will be retained for 90 days. During this period, you may reactivate your subscription to regain access. After 90 days, your data will be permanently deleted.

5.3 Termination by Us

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the service in a manner that could harm us or other users. We will provide notice where practicable.

6. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to our systems, other accounts, or data.
  • Interfere with or disrupt the integrity or performance of the service.
  • Reverse engineer, decompile, or disassemble any part of the software.
  • Use the service to send unsolicited bulk messages (spam) in violation of applicable laws including Malaysia's Personal Data Protection Act 2010 (PDPA) and the EU General Data Protection Regulation (GDPR).
  • Upload or transmit viruses, malware, or other malicious code.
  • Resell, sublicense, or redistribute the service without our written consent.

7. Your Data & Privacy

You retain ownership of all data you input into our platforms ("Your Data"). We process Your Data solely to provide the service in accordance with our Privacy Policy.

As a tenant, you are the data controller for your clients' personal data. You are responsible for obtaining appropriate consent from your clients and complying with applicable data protection laws (including PDPA and GDPR where applicable).

We act as a data processor on your behalf and will process client data only as necessary to provide the service.

8. Intellectual Property

Our platforms, including their software, design, branding, documentation, and all related intellectual property, are owned by Lazuar Solutions and protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use the applicable platform for your internal business purposes during the subscription term. This licence does not grant you any right to our source code.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Our total liability to you for any claims arising from your use of our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless Lazuar Solutions, its officers, employees, and agents from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the relevant platform at least 30 days before the changes take effect. Your continued use of our services after the changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
